Backlogic End User License Agreement (EULA) Last updated: April 2, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Backlogic B.V., a company registered in the Netherlands, regarding your use of the Backlogic software-as-a-service platform ("Software" or "Service").

By accessing or using the Software, you agree to be bound by this Agreement.

  1. License Backlogic B.V. grants you a non-exclusive, non-transferable, revocable license to use the Software solely for your internal business operations, in accordance with this Agreement.

  2. Ownership All rights, title, and interest in and to the Software, including all intellectual property rights, remain with Backlogic B.V. This Agreement does not transfer any ownership rights.

  3. Restrictions You may not:

  • Reverse engineer, decompile, or disassemble the Software;

  • Use the Software for unlawful, harmful, or fraudulent purposes;

  • Share, resell, or sublicense the Software without prior written permission;

  • Bypass or attempt to bypass any security mechanisms of the Software.

  1. Availability and Support Backlogic B.V. strives to maintain availability but makes no guarantees that the Service will be uninterrupted or error-free. The Service is provided "as is", and support is offered on a best-effort basis unless agreed otherwise.

  2. Data and Privacy You retain all rights to your data. Backlogic B.V. may access your data only to provide the Service, improve performance, or as required by law. Please refer to our Privacy Policy for more information.

  3. Termination Backlogic B.V. may terminate or suspend your access to the Service at any time if you violate this Agreement or if required to do so by law. Upon termination, your access to the Software will be disabled, and your license will end.

  4. Disclaimer of Warranties The Software is provided "as is", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

  5. Limitation of Liability To the maximum extent permitted by law, Backlogic B.V. shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, business interruption, or lost profits, even if advised of the possibility. Total liability shall not exceed the amount paid by the User in the 12 months prior to the event giving rise to the claim.

  6. Changes to the Agreement Backlogic B.V. reserves the right to modify this Agreement at any time. Continued use of the Software after changes are published constitutes acceptance of the updated terms.

  7. Governing Law This Agreement is governed by the laws of the Netherlands. Any disputes will be submitted to the competent court in the Netherlands.

  8. Subscriptions and Plans Backlogic offers both free and paid subscription plans. Each plan has defined limits (e.g., number of users, projects, AI tokens, or data storage), which may be updated from time to time. Users can upgrade their plan at any time, with changes taking effect immediately. Downgrades take effect at the start of the next billing cycle.

Backlogic B.V. reserves the right to modify, suspend, or discontinue any plan, pricing, or limits at its discretion, with reasonable notice where applicable.

Backlogic Terms of Service (ToS) Last updated: April 2, 2025

These Terms of Service ("Terms") govern your use of the Backlogic platform provided by Backlogic B.V., a company registered in the Netherlands ("Backlogic", "we", "us", "our"). By using the Service, you agree to these Terms.

  1. Service Overview Backlogic is a software-as-a-service (SaaS) platform for project and process management, offering a free plan and multiple paid subscription tiers. Features and usage limits vary depending on your subscription level.

  2. Account Registration To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and any activity under your account.

  3. Subscription Plans & Billing

  • Free Tier: Offers limited access to the platform’s features, including limits on users, projects, AI tokens, and storage.

  • Paid Plans: Offer extended features and higher limits. Plan details and pricing are available on our website or within the app.

By subscribing to a paid plan:

  • You authorize Backlogic to charge your payment method at the beginning of each billing cycle.

  • Your subscription automatically renews unless cancelled before the end of the current period.

  • You may upgrade your plan at any time, and changes take effect immediately.

  • You may downgrade your plan at any time; changes take effect on the next renewal date.

  1. Plan Changes and Modifications Backlogic reserves the right to modify pricing, features, and usage limits of all plans. If we make significant changes, we’ll provide reasonable notice via email or within the platform.

  2. Cancellations and Refunds You may cancel your subscription at any time via your account settings. Your access will continue until the end of your current billing period. We do not provide refunds for unused time or downgrades unless required by law.

  3. Acceptable Use You agree not to use the Service to:

  • Violate any law or regulation;

  • Infringe on intellectual property rights;

  • Disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms.

  1. Data Ownership You retain ownership of your content and data. We only access your data as necessary to provide and improve the Service, or as required by law.

  2. Termination We may suspend or terminate your access to the Service at our discretion, with or without notice, if you breach these Terms or our EULA.

  3. Limitation of Liability Backlogic B.V. is not liable for any indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid in the 12 months preceding the claim.

  4. Governing Law These Terms are governed by the laws of the Netherlands. Disputes will be resolved by the competent court in the Netherlands.
